1. Who we are
OrbitPass (“we”) provides software that lets businesses run digital loyalty stamp cards. These terms apply to businesses that create an account (“you”) and to customers who join a business's loyalty program (“members”).
2. Roles under the Data Privacy Act
For member data, the business is the personal information controller and OrbitPass is the personal information processor acting on the business's instructions, under Republic Act No. 10173 (Data Privacy Act of 2012) and its implementing rules. Each business is responsible for having a lawful basis to collect and use its members' data and for honoring their rights.
3. Wallet passes
Loyalty cards in Apple Wallet and Google Wallet are issued by OrbitPass on your behalf, under OrbitPass's own Apple and Google accounts. Your business is the face of the card (your name, logo and design), and the card shows that it is issued by OrbitPass. Apple's and Google's rules apply to every card, so we may change, pause or remove a card or account when needed to keep the service in good standing with them.
4. Your content and your responsibility
- “Your content” means everything you or your staff add to OrbitPass: your business name, logo, images, card designs, rewards, messages and any other text.
- You confirm that you own your content or have every right and permission needed to use it (including any logos, trademarks, photos and people shown), and that it is lawful.
- You are solely and fully responsible for your content and for how you use OrbitPass, including any claim, complaint or penalty that arises from it.
- You give OrbitPass a non-exclusive, worldwide, royalty-free licence to store, process, adapt (for example resize) and display your content only to provide the service, including on your customers' wallet passes and web cards.
- Indemnity. You agree to defend, indemnify and hold harmless OrbitPass, its owners, officers, employees and contractors from any claim, loss, damage, fine, penalty, cost or expense (including reasonable lawyers' fees) arising from your content, your use of OrbitPass, or your breach of these terms, our Acceptable Use Policy or the law.
5. Image review and removal
- Every image you upload is checked automatically by a third-party screening service, and images that clearly break our rules are refused. We may also review images and cards ourselves, either before an image can appear on a card (review then usually takes 1–2 days) or after it is live. The free trial includes the same uploads as the Growth plan.
- We may refuse, remove or replace any content, and pause or suspend any card or account, at any time and without notice, if we believe it breaks these terms, our Acceptable Use Policy or the law, or puts the service, our customers or other people at risk.
- Reviewing content does not make us responsible for it, and we have no duty to monitor everything you add. Responsibility for your content stays with you.
- If content appears to be illegal (including any child sexual abuse or exploitation material), we will remove it, keep the records the law requires, report it to the authorities, and cooperate with any lawful investigation.
6. Your account
- Keep your login secure. You are responsible for activity by your staff accounts.
- Only invite people who work for your business, and give them the least access they need.
- Don't use OrbitPass to send spam, scams, links, or offensive content. We filter messages and may suspend accounts that break this rule.
7. Free trial, plans and payment
- New accounts get a 14-day free trial on their first business. No payment is needed for the trial.
- Paid plans are billed monthly, yearly, or as a prepaid term of 1–12 months. Prices are shown on the pricing page.
- If a payment fails or a prepaid term ends, you have a 7-day grace period. After that, your program is paused: your dashboard is read-only, scanning and messages stop, and member cards show “Program paused”.
- You can cancel anytime. Access continues until the end of the paid period. We don't give partial refunds for unused time unless required by law.
- Upgrades take effect immediately with a prorated charge. Downgrades take effect at the end of the current period.
- Receipts are issued as Acknowledgment Receipts until BIR-registered invoicing is enabled.
8. Data retention
If your subscription expires, we keep your data for 60 days so you can renew. After that, your business data is permanently deleted.
9. Members
Members join for free with a first name and mobile number. Marketing messages are only sent to members who opt in, and members can opt out at any time from their card. Members can ask the business — or us — to delete their data.
10. Availability and changes
We work hard to keep OrbitPass available but can't promise it will never be interrupted. Wallet notifications depend on Apple and Google and are not guaranteed. We may update these terms; we'll notify account owners of material changes.
11. Liability
To the extent allowed by law, OrbitPass is provided “as is”, we are not liable for your content or for how you or your customers use the service, and our total liability is limited to the fees you paid us in the 3 months before the claim.
